Vacancy; Removal


(a)

If a vacancy occurs in the office of director, the remaining directors by majority vote shall appoint a director for the unexpired term. The appointee must be approved by the state board before taking office.

(b)

If a vacancy occurs in the office of director and the vacancy is not filled by appointment by the remaining directors as required by this section within six months after the vacancy occurs, the state board may call for an election to be held for the purpose of electing a director to complete the term.

(c)

If the number of qualified directors is less than the number required to conduct business as required by Section 201.078 (Majority Vote Requirement) of this code, the state board may call for an election to be held for the purpose of electing directors for each vacant subdivision to complete the unexpired term.

(d)

An election under this section must be conducted in the manner provided by Section 201.073 (Election of Directors) of this code, except that the state board shall designate the date, time, and place of the election.

(e)

Following notice and a hearing, the state board may remove a director, but only if the director:

(1)

neglects the duty of the office;

(2)

is guilty of malfeasance in office; or

(3)

is disqualified as a voter in the conservation district.
