Violations by Corporations
(a)
The failure of a corporation chartered under the laws of this state to comply with the provisions of Sections 85.059 (Records) through 85.062 (Examination of Books and Records) of this code and to keep the records required by Section 85.059 (Records) of this code in this state or the refusal to permit officers designated in Section 85.062 (Examination of Books and Records) of this code to inspect and examine the records required by Section 85.059 (Records) of this code shall constitute grounds for forfeiture of the corporation’s charter rights and privileges and dissolution of its corporate existence.(b)
The failure of a foreign corporation to comply with the provisions of Sections 85.059 (Records) through 85.062 (Examination of Books and Records) of this code and to keep the records required by Section 85.059 (Records) of this code in this state or the refusal to permit officers designated in Section 85.062 (Examination of Books and Records) of this code to inspect and examine the records required by Section 85.059 (Records) of this code shall be grounds for enjoining and forever prohibiting such corporation from doing business in this state.
