Tex. Fin. Code Section 62.010
Amendment of Articles of Incorporation or Bylaws

(a)

An association may amend its articles of incorporation or bylaws by a resolution adopted by a majority vote of those entitled to vote attending an annual meeting or a special meeting called for that purpose.

(b)

An amendment may not take effect before it is filed with and approved by the commissioner.
