Tex. Bus. Orgs. Code Section 6.153
Voting of Interests Owned by Another Entity


An ownership interest in a domestic entity owned by another entity, whether a domestic or foreign entity, may be voted by the officer, agent, or proxy as authorized by:

(1)

the governing documents of the entity that owns the interest; or

(2)

the governing authority of the entity that owns the interest, if the governing documents do not provide for the manner of voting.
