Statement Required for Liability Protection
(a)
A written statement filed under Section 153.106 (Erroneous Belief of Contributor Being Limited Partner)(2) must be entitled "Filing under Section 153.106 (Erroneous Belief of Contributor Being Limited Partner)(2), Business Organizations Code," and contain:(1)
the name of the partnership;(2)
the name and mailing address of the person signing the written statement; and(3)
a statement that:(A)
the person signing the written statement acquired a limited partnership interest in the partnership;(B)
the person signing the written statement has made an effort to cause a general partner of the partnership to file an accurate certificate of formation required by the code and the general partner has failed or refused to file the certificate; and(C)
the statement is being filed under Section 153.106 (Erroneous Belief of Contributor Being Limited Partner)(2) and the person signing the written statement is claiming status as a limited partner of the partnership named in the document.(b)
The statement is effective for 180 days.(c)
A statement filed under Section 153.106 (Erroneous Belief of Contributor Being Limited Partner)(2) may be signed by more than one person claiming limited partnership status under this section and Sections 153.106 (Erroneous Belief of Contributor Being Limited Partner), 153.108 (Requirements for Liability Protection Following Expiration of Statement), and 153.109 (Liability of Erroneous Contributor).
