Notice of Restriction on Transfer of Shares

Any restriction on the transfer of shares in a professional corporation that is imposed by the governing documents of the corporation or an applicable agreement must be:

(1)

noted on each certificate representing the shares; or

(2)

incorporated by reference in the manner provided by Chapter 21 (For-profit Corporations).
